PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING WEBHOOKTRADEBOT SOFTWARE AND SERVICES. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WebhookTradeBot ("we," "us," or "our"). By subscribing to, downloading, installing, or using WebhookTradeBot software, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services.

2. Description of Service

WebhookTradeBot is an automated trading software tool ("Software") that:

• Receives webhook signals from TradingView or other sources
• Automatically executes trades on your cTrader trading account based on those signals
• Provides risk management features such as stop loss, take profit levels, and daily loss limits
• Operates as a cloud-hosted SaaS (Software as a Service) — your signals are received and executed via our secure cloud infrastructure; no local installation is required

IMPORTANT: WebhookTradeBot is a SOFTWARE TOOL ONLY. We do not provide:

• Trading signals, strategies, or investment advice
• Brokerage services or access to financial markets
• Guaranteed profits or trading results
• Financial, legal, or tax advice

3. Risk Disclaimer and Limitation of Liability

3.1 No Liability for Trading Losses

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Any trading losses, missed profits, or financial damages resulting from your use of the Software
• Losses caused by market volatility, broker execution, or market conditions
• Losses resulting from software bugs, errors, or malfunctions
• Losses due to internet connectivity issues, server downtime, or technical failures
• Losses from incorrect webhook signals, TradingView issues, or third-party service failures
• Losses caused by user error, misconfiguration, or improper use of the Software
• Any indirect, incidental, special, consequential, or punitive damages

3.2 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

4. User Responsibilities and Obligations

As a user of WebhookTradeBot, you agree to:

4.1 Eligibility

• You are at least 18 years of age
• You are legally permitted to trade financial instruments in your jurisdiction
• You are not located in a country where our services are prohibited
• You comply with all applicable local, state, national, and international laws

4.2 Account Security

• Maintain the confidentiality of your license key and account credentials
• Not share your license with unauthorized users
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

4.3 Proper Use

• Use the Software only for its intended purpose (automated trade execution)
• Not attempt to reverse engineer, decompile, or hack the Software
• Not use the Software for illegal activities or market manipulation
• Not abuse our support services or trial period
• Configure appropriate risk parameters (stop loss, position size, daily limits)
• Monitor your trading account and the Software's performance

4.4 Testing and Verification

You agree to:

• Thoroughly test the Software on a demo account before live trading
• Verify that all webhook signals and executions are functioning correctly
• Start with small position sizes when beginning live trading
• Continuously monitor the Software's performance

5. Subscription and Billing

5.1 Pricing

• Current pricing is displayed on our website
• We reserve the right to change prices with 30 days notice
• Price changes do not affect existing subscriptions until renewal

5.2 Free Trial

• We offer a 7-day free trial for new users
• One trial per person, per payment method, per email address
• We reserve the right to deny trial access to prevent abuse
• After trial, subscription automatically begins unless canceled

5.3 Billing

• Subscriptions are billed monthly in advance
• Payment processed through Stripe (subject to Stripe's terms)
• Failed payments may result in service suspension
• You are responsible for all applicable taxes

5.4 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused time
• No refunds for trading losses or dissatisfaction with results
• Refunds may be granted at our sole discretion for technical issues preventing software use
• Where required by applicable consumer protection law (including the UK Consumer Contracts Regulations 2013, EU Consumer Rights Directive, or equivalent legislation in your jurisdiction), statutory cancellation rights apply and supersede this refund policy to the extent required by law

6. Software License

6.1 License Grant

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal trading purposes.

6.2 License Restrictions

You may NOT:

• Sell, rent, lease, or sublicense the Software
• Share your license with others
• Use the Software on more than one (1) cTrader account per active subscription unless you hold a multi-account plan
• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices
• Use the Software to provide services to third parties

6.3 License Termination

This license terminates automatically if:

• Your subscription is canceled or expires
• You violate these Terms
• We discontinue the service

7. Intellectual Property

WebhookTradeBot, including all software code, documentation, trademarks, and related intellectual property, is owned by us and protected by copyright and other intellectual property laws.

You retain all rights to your trading strategies, signals, and configuration data.

8. No Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for a particular purpose, and non-infringement
• Accuracy, reliability, or availability of the Software
• Uninterrupted or error-free operation
• That defects will be corrected
• That the Software will meet your requirements or expectations
• That the Software will be compatible with your system or broker

9. Third-Party Services

Our Software integrates with third-party services (TradingView, cTrader, brokers). We are not responsible for:

• The availability, performance, or accuracy of third-party services
• Changes to third-party APIs or compatibility
• Third-party terms of service, fees, or policies
• Broker execution quality, spreads, slippage, or rejection of orders

You are responsible for maintaining accounts and subscriptions with necessary third-party services.

10. Indemnification

You agree to indemnify, defend, and hold harmless WebhookTradeBot, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Software
• Your trading activities and decisions
• Your violation of these Terms
• Your violation of any laws or regulations
• Your violation of third-party rights

11. Modifications to Service and Terms

11.1 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any feature of the Software
• Update the Software to fix bugs, improve performance, or add features
• Change system requirements

11.2 Terms Changes

We may update these Terms at any time. Material changes will be notified via email. Continued use after changes constitutes acceptance.

12. Termination

12.1 Termination by You

You may terminate your subscription at any time by canceling through your account or contacting support.

12.2 Termination by Us

We may suspend or terminate your access immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Payment fails or chargebacks occur
• You abuse our trial policy or services

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

13.1 Informal Resolution

Before filing a claim, you agree to contact us at support@webhooktradebot.com to attempt to resolve the dispute informally.

13.2 Jurisdiction

Disputes shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in another jurisdiction, nothing in these Terms affects your right to bring proceedings before your local courts or to benefit from mandatory consumer protection laws applicable in your country of residence.

13.3 Global Users

If you are located in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. We are not obligated to participate in alternative dispute resolution but will consider reasonable requests.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. However, if you are a consumer in a jurisdiction where mandatory local consumer protection laws apply, those laws will take precedence over English law to the extent required to protect your statutory rights.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WebhookTradeBot regarding the Software.

18. Acknowledgment

• You accept full responsibility for your trading decisions and results
• You agree to the limitations of liability and disclaimers
• You will not hold us liable for trading losses
• You are using the Software entirely at your own risk
